Terms of service

These Terms of Service (“Terms”) govern your access to and use of Pendulum (the “Service”), a Shopify embedded app operated by Alchemy Merch LLC (“we,” “us,” “our”). By installing Pendulum on your Shopify store you agree to these Terms.

If you do not agree to these Terms, do not install or use the Service.

What Pendulum does

Pendulum generates branded invoice PDFs from your Shopify orders and draft orders and sends reminder emails to your customers on a cadence you configure. Pendulum is not an accounting system. Pendulum is not a payment processor. Payment for invoices is handled entirely by Shopify Payments, Stripe, or whatever processor your Shopify store is configured to use.

Eligibility

To use Pendulum you must:

  • Have an active Shopify store
  • Be authorized to bind that store to these Terms (e.g. you are the store owner or a staff member with installation permissions)
  • Be at least 18 years old or the age of majority in your jurisdiction
  • Not be barred from receiving services under applicable law

Install and account

Installing Pendulum from the Shopify App Store creates an account for your store. You authorize Pendulum to access your Shopify data through the OAuth scopes granted during install. You are responsible for keeping your Shopify admin credentials secure.

You may uninstall Pendulum at any time from your Shopify admin. Uninstall triggers our data-deletion flow as described in the Privacy policy.

Subscription, trial, and billing

Pendulum is billed through Shopify Managed Pricing. Shopify charges your store the plan price you select, takes its standard revenue share, and remits the remainder to us. You do not pay us directly.

  • Free trial: Every plan includes a 14-day free trial. You will not be charged during the trial. Cancel before the trial ends and Shopify will not charge you.
  • Renewal: Monthly plans renew every 30 days. Annual plans renew every 365 days. Renewal is automatic until you cancel.
  • Cancellation: Cancel at any time from your Shopify admin under your Pendulum subscription. Cancellation takes effect at the end of your current billing period. You retain access until then.
  • Plan limits: Each plan has a monthly invoice limit. Exceeding the soft limit shows an in-app banner. Exceeding 150% of the soft limit blocks new invoice creation until your billing period resets or you upgrade. We do not charge overage fees.
  • Refunds: Shopify governs refunds for Shopify-billed subscriptions. We do not process refunds directly. Refer to your Shopify Partner billing terms.
  • Plan changes: Upgrade or downgrade at any time. Changes take effect at the start of the next billing period.
  • Price changes: We will give at least 30 days’ notice of any price increase, by email or in-app banner.

Acceptable use

You agree not to use Pendulum to:

  • Send unsolicited marketing emails (spam). Pendulum reminders are transactional and must be sent only to customers with whom you have a pre-existing commercial relationship (a Shopify order or draft order).
  • Send messages containing illegal, fraudulent, harassing, threatening, or deceptive content
  • Impersonate another business or individual
  • Circumvent plan limits via duplicate installs or other technical means
  • Attempt to access data belonging to other Pendulum merchants
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to violate any applicable law or regulation, including anti-spam laws (CAN-SPAM, CASL, GDPR)

We may suspend or terminate your access if we reasonably believe you are violating these acceptable use rules.

Your data and our data

You retain all rights to your Shopify data, your brand assets (logos, watermarks), your customer data, and any content you upload to Pendulum. We claim no ownership over any of it.

You grant us a limited, non-exclusive license to access, store, process, and transmit your data solely as necessary to provide the Service. This license terminates when you uninstall.

We own the Pendulum application, codebase, documentation, brand, and design. Nothing in these Terms transfers that ownership to you.

Outbound webhooks (Pro plan)

On the Pro plan, you can configure outbound webhook endpoints to receive signed event payloads. You are responsible for the security and reliability of any endpoint you configure. We sign every payload with HMAC-SHA256, and verifying the signature is your responsibility. We will deactivate endpoints that fail 10 deliveries in a row to protect both your systems and ours.

Service availability

We will use commercially reasonable efforts to keep the Service available. We do not offer a formal uptime SLA at this time. The Service may be unavailable during planned maintenance, due to incidents at our hosting providers, or due to events outside our reasonable control.

If a multi-hour outage affects your reminder cadence, contact support@penduluminvoices.com and we will work with you in good faith.

Third-party services

Pendulum depends on Shopify, Postmark, Supabase, Vercel, and Cloudflare to operate. We are not responsible for their availability, terms, or pricing. By using Pendulum you also agree to Shopify’s terms applicable to Shopify-installed apps.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Pendulum is not financial, tax, legal, or accounting advice. Invoice PDFs generated by Pendulum are for convenience and presentation. You remain responsible for tax-compliant invoicing in your jurisdiction.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US (VIA SHOPIFY) IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow the limitations above. In those jurisdictions our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Alchemy Merch LLC and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Service in violation of these Terms or in violation of applicable law, including any spam claims arising from reminder emails sent to recipients with whom you have no pre-existing commercial relationship.

Termination

You may terminate these Terms at any time by uninstalling Pendulum from your Shopify store. We may terminate or suspend your access if you violate these Terms, if your Shopify store closes, or if continued service becomes impractical for us. On termination we delete your data per the retention schedule in the Privacy policy.

Sections that by their nature should survive termination (Data ownership, Disclaimer, Limitation of liability, Indemnification, Governing law, and this section) will survive.

Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.

Governing law and venue

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction in those courts.

Miscellaneous

  • Entire agreement: These Terms and the Privacy policy are the entire agreement between you and Alchemy Merch LLC regarding the Service.
  • Severability: If any provision of these Terms is unenforceable, the remaining provisions remain in effect.
  • No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: We may give notice to you by email to the address associated with your Shopify store, or by in-app banner. You may give notice to us at the email below.
